Job Overview

Responsible for reviewing and/or drafting vendor contracts as requested by the sites; maintenance of corporate entities which includes state filings and creation of bylaws, minutes and stock certificates; assisting in litigation and regulatory matters including document production; accounting of claims for Stellar submission; assisting with insurance documents; general assistance to entities regarding corporate structure, etc., and assisting in the corporate compliance program.

Job Accountabilities

  • Maintain corporate entities (including state filings, creation of bylaws, minutes and stock certificates). 
  • Review and/or drafting of vendor contracts for CTCA and the various entities in accordance with company policies and legal department guidelines.  Serves as a point of contact to provide guidance to sites, including determining legal vs. business issues.  Create and distribute NDA’s and BAA’s to the sites as requested from time-to-time (based on previously-approved form).
  • Provide general assistance to the various entities, including answering questions related to corporate structure, insurance program, etc.  Production of certificates and forms for various entities, and notarization of signatures.  Facilitates (through insurance broker) certificates of insurance upon request.
  • Compilation and organization of documents for transactions, litigation and regulatory matters.
  • Management and accounting of Stellar claims and submissions (collecting appropriate invoices from the various entities for reimbursement from Stellar).  Assistance in producing insurance applications for commercial coverage.
  • Provide assistance to compliance department in monitoring and responding to hotline calls.

Education/Experience Level

  • Minimum paralegal certificate from an ABA accredited school
  • Bachelor’s degree required
  • Proficiency with MS Word, MS Excel, MS PowerPoint, and Adobe Acrobat required
  • Minimum 8 years experience as a corporate paralegal
  • Minimum 5 years experience in contracts administration or management
  • Must have a strong conceptual foundation of contract elements, and experience writing, reviewing and editing contracts for goods and services
  • Experience in healthcare environment preferred

Knowledge and Skills

  • Strong interpersonal and communication skills and ability to work effectively with a wide range of constituencies
  • Knowledge and skill with word processing, data entry, general accounting principles, fiscal management and database management
  • Ability to use independent judgment and to manage and impart confidential information
  • Ability to make administrative and procedural decisions and judgments on sensitive, confidential issues.
  • Patience and ability to work under pressure.
